These Terms of Service ("Terms") govern your access to and use of AutoReply AI, including our mobile application, web platform, and all associated services ("Service"), operated by AutoReply AI ("we", "us", "our") at autoreplyai.in. By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
- You must be at least 18 years of age to use AutoReply AI
- You must have a valid WhatsApp Business account and comply with Meta's Terms of Service
- You must be legally authorised to operate the business for which you are using our Service
- By using our Service, you represent and warrant that all of the above are true
2. Description of Service
AutoReply AI is a SaaS platform that enables businesses to automate customer conversations on WhatsApp using artificial intelligence. The Service includes:
- AI-powered auto-replies to incoming WhatsApp messages
- FAQ and menu-based response systems
- Lead detection and customer escalation alerts
- Push notifications for business-critical events
- Subscription plan management and billing
AutoReply AI is a tool that assists businesses in managing customer communication. It does not guarantee any specific business outcomes, lead conversions, sales, or revenue results.
3. User Responsibilities
- You are solely responsible for the content of your FAQ, menu responses, and any custom instructions provided to the AI
- You are solely responsible for ensuring your use of WhatsApp complies with Meta's WhatsApp Business Policy
- You must not use AutoReply AI to send spam, unsolicited messages, or any content that violates applicable laws
- You must not attempt to reverse-engineer, copy, or resell any part of our Service
- You are responsible for keeping your account credentials secure
- You must promptly notify us of any unauthorised access to your account
4. AI Disclaimer — Important
⚠️ AI-Generated Content Disclaimer
Replies sent to your customers are generated by artificial intelligence (OpenAI GPT-4o-mini). While we strive for accuracy, AI responses may occasionally be incorrect, incomplete, or inappropriate. AutoReply AI is NOT liable for:
• Any business decisions made based on AI-generated replies
• Customer dissatisfaction arising from AI responses
• Loss of business, revenue, or reputation caused by AI replies
• Any legal claims arising from content generated by the AI
You are solely responsible for reviewing and managing the AI's responses to your customers. We strongly recommend enabling human escalation for sensitive conversations.
5. WhatsApp & Meta Platform Disclaimer
⚠️ Platform Dependency Disclaimer
AutoReply AI operates on top of Meta's WhatsApp Cloud API. We are NOT liable for:
• Service interruptions caused by WhatsApp or Meta platform outages
• Changes to Meta's API, policies, or pricing that affect our Service
• Suspension or termination of your WhatsApp Business Account by Meta
• Message delivery failures caused by WhatsApp infrastructure
Continued availability of our Service is dependent on Meta's platform terms and availability, which are outside our control.
6. Subscription & Payment Terms
- AutoReply AI offers Free, Starter, Growth, Pro, and Business plans with monthly and yearly billing options
- Paid plans are activated immediately upon successful payment
- Plan limits (message counts, features) are strictly enforced per tier
- You may not upgrade to a higher plan while your current paid plan is still active; upgrades are available after your current plan expires
- Yearly plans offer discounted pricing compared to monthly plans
⚠️ No Refund Policy
ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE. We do not offer refunds, partial refunds, credits, or plan cancellations under any circumstances, including but not limited to:
• Change of mind after purchase
• Dissatisfaction with AI reply quality
• Unused portion of a subscription period
• Account termination by the user
• WhatsApp or Meta platform issues
By completing payment, you explicitly acknowledge that you have read, understood, and agreed to this no-refund policy. This warning is also displayed in the app before every payment is processed.
7. Account Termination
- You may delete your account at any time from within the app
- We reserve the right to suspend or terminate your account without notice if you violate these Terms
- Upon termination, your access to the Service will cease immediately
- No refunds will be issued for any remaining subscription period upon termination for violations
- Data deletion upon account closure is governed by our Privacy Policy
8. Intellectual Property
- AutoReply AI and all associated technology, code, design, and branding are the exclusive property of AutoReply AI
- You are granted a limited, non-exclusive, non-transferable licence to use the Service for your own business purposes
- You may not copy, modify, distribute, or create derivative works from any part of our Service
- Content you create (FAQs, menus, business data) remains your property
9. Limitation of Liability
To the maximum extent permitted by applicable law, AutoReply AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from your use of or inability to use the Service.
Our total aggregate liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the three (3) months preceding the claim.
10. Governing Law & Disputes
- These Terms are governed by the laws of India
- Any disputes shall be subject to the exclusive jurisdiction of courts in Pune, Maharashtra, India
- We encourage you to contact us first at support@autoreplyai.in to resolve any disputes amicably before initiating legal proceedings
11. Changes to Terms
We may update these Terms at any time. We will notify you of material changes via email or in-app notification at least 7 days before they take effect. Continued use of the Service after changes constitutes your acceptance of the new Terms.
